The following terms and conditions apply to all persons or entity purchasing a job listing on the Association for Corporate Growth's website, www.jobsource.acg.org and its related
subdomains (the "Site"); each such person or entity is referred to as the "Company" in these terms and conditions.
- Any failure by the Company to pay for the job postings for which it has subscribed may result in the termination of the Company's access to the Site.
- The Company shall be solely responsible for the accuracy, timeliness, completeness and removal of any job posting and employment requirements that are placed on the Site.
- The Company shall present on the Site only genuine existing employment requirements with the Company.
- The Company may not transfer or assign for any reason any products or services or rights to any products or services (including access to or contents of the résumé database
located on the Site (the "Résumé Database") provided by Association for Corporate Growth to any third party without the expressed written authorization of Association for Corporate Growth.
- Association for Corporate Growth reserves the right to receive and post on the Site any job advertisements or job posting that it deems acceptable in its sole discretion;
conversely it retains the right to disallow and deny, in its sole discretion, any job advertisements that are not suitable for Association for Corporate Growth's purposes.
- Association for Corporate Growth retains sole discretion to determine whether the Site's use is acceptable for Association for Corporate Growth's purposes and standards,
and Association for Corporate Growth may discontinue the Site at any time. Any such discontinuance will result in a refund of a prorated portion of any unused prepaid subscription.
- Association for Corporate Growth assumes no responsibility or liability for any personnel selected by the Company and the Company represents that any selection, retention
or hiring of any individual or entity is based solely on the Company's investigation, verification and determination that such hire is suitable for the Company's purposes.
- The Company agrees to indemnify and hold harmless Association for Corporate Growth and each of its directors, employees, members, agents and affiliates ("Indemnified Parties")
from any claims, damages, losses costs, charges or expenses incurred by any of the Indemnified Parties as a result of the use of the Site or the Résumé Database, any failure to
abide by these terms and conditions or any claim relating to or arising out of the content of the Company's advertising, job postings or other materials.
- Association for Corporate Growth reserves the right to remove or deny any job posting(s) or advertisement for any reason, including but not limited to non-payment or failure
to abide by these terms and conditions.
- Association for Corporate Growth reserves the right to edit all employment advertisements, but will review any such edited advertisements with the Company prior to publication.
- No advertisement submitted by the Company shall reflect, imply or contribute to any discriminatory actions, practices or improper bias. Association for Corporate Growth reserves
the right to edit any advertisement to remove any such offending language or implication.
- Association for Corporate Growth, or its licensors, owns all content (the "Content") on the Site and all intellectual property rights relating to such content and the Site,
other than Company Content (as defined below). All use of the Content must be in accordance with these terms and conditions and other terms and conditions of use ofwww.acg.org.
No portion of the Content may be modified, copied, sold, leased, distributed, transmitted or used for any commercial purpose or on behalf of any other person or entity, and the
Company has no rights in the content, except as set forth herein and therein.
- By posting advertising, job postings and other materials on the Site or by otherwise using the Site, you grant to the Association for Corporate Growth a royalty-free, perpetual,
irrevocable, non-exclusive license and full right to use, reproduce, modify, conform, adapt, publish or transmit and otherwise use such advertising, job postings and other materials
posted by the Company on the Site ("Company Content"), solely for the purpose of operating the Site.
- The Company shall have sole responsibility for assuring that the Company Content on the Site is true and accurate and conforms to all applicable laws, standards and regulations.
The Company represents and warrants to Association for Corporate Growth that it has all necessary authorization for the placement of the entire Company Content on the Site. Association
for Corporate Growth may decline or discontinue further publication of any Company Content, at any time and for any reason, and shall not be liable in any manner as a result of such
action, except to refund a prorated portion of any unused prepaid subscription.
- Association for Corporate Growth's liability for any claims of any nature whatsoever arising under these terms and conditions or otherwise, shall be limited to the money paid to
Association for Corporate Growth by the Company for the specific service giving rise to such liability. This limitation of liability is cumulative and not per incident. In no event
shall Association for Corporate Growth be liable for any incidental, special, or consequential damages, lost profits, or lost or damaged data, or any indirect damages, whether arising
in contract, tort (including negligence), or otherwise, even if Association for Corporate Growth has been informed of the possibility thereof.
- The Site and the Résumé Database are reserved for the use of companies that are evaluating and desire to hire professionals for themselves, and not for any other person or entity.
Third party agencies are not allowed to purchase access to the Résumé Database at this time. Neither the Site nor the Résumé Database are intended to be used by companies and/or
individuals for marketing purposes. Misuse of our site may result in access to the Site and/or the Résumé Database being inactivated with no refund given.
